    For 15 years Tomorrow's Company has done pioneering work in setting the new agenda for companies and their leadership and governance. It helped shape the redefinition of directors duties in 2006. It reintroduced the idea of investor stewardship in 2008 and developed four stewardship principles in 2009. In its Good governance Forum it has been working with chairman and company secretaries to test and develop the concept of the board mandate as a method of aligning the whole board.
    In this breakfast seminar Mark Goyder will tell something of the Tomorrow's Company journey and describe the new challenges facing those who are charged with improving the stewardship, the governance and the effectiveness of their organisation.

    It was a diverse agenda for this year's CSPPG Technical Conference where CSS were thrust into the world of boardrooms and bribery. The two briefings from Dr Tracy Long and Peter Van Duzer provided unparalleled insight into two of the most talked about issues facing companies at present. This was then followed by details on the maintenance of CPD for Chartered Secretaries and a sumptuous buffet over which attendees were given the chance to catch up and digest the topics on the table.

    The Last Taboo?
    The Women on Boards event hosted by Pinsent Mason last night was an extremely honest and open debate well-attended by a wide cross spectrum of professionals. Led by a diverse panel of female achievers, the discussion ecompassed not just the commercially-related elements of the debate but also drew significantly on more personal but nonetheless widely shared priorities, and it was generally agreed that proper acknowledgement of these was equally appropriate and important. There is no question that there is a real and growing impetus for change.

    Onwards and Upwards
    Last week, the ladies of CSS attended the AWCS evening on 'How to Influence your way to Success'. Held at the Computershare's offices on Vinters' Place, with its impressive views accross the Thames, we learnt how to engage effectively with key players and build strong working relationships. The session, run by Karen Kircher, who has worked with a number of clients in both the public and private sectors, involved a mixture of presentation and pratical exercises that taught participants how to leverage their personality in a fun and informative way.     GlaxoSmithKline Annual General Meeting
    The GlaxoSmithKline Annual General Meeting was at the Queen Elizabeth II Conference Centre in Westminster last week and as long-standing recruiters for the company, CSS were lucky enuogh to recieve an invitation as observers. We witnessed a variety of operational updates and were fascinated to hear the latest finacial and pharmaceutical sector developments. The afternoon provided us with a valuable insight into what's involved for CoSecs in the AGM process, and a chance to indulge in the finest clotted cream scones!

    It's AGM season again! Or, in Caroline's lucky case, she was a guest at the post-AGM dinner and attended the Association of Women Chartered Secretaries celebrations. Caroline has been a strong supporter of this networking group for many years and is consistently impressed by the efforts and achievements of all those involved - on an entirely voluntary basis - in growing the group, its profile and its unique contribution across the profession.     MCA Awards Dinner
    We had two tables at the dinner and a wee BLT sponsored prize which Kate Birtwhistle awarded to Ernst & Young, as the consultancy judged to have delivered the best public sector change project in 2010. PA Consulting, AMTEC and Sequena were also highly commended. One of our guests, Bluerock also won the Innovation award.

    The CSS table at the ICSA/Hermes Transparency in Governance Awards event was a winning combination on all fronts! We were delighted to host a sparkling array of guests, whom we'd like to thank for their support; you know who you are! We were also very pleased to sponsor the 'One to Watch' which was won by Sharan Medeley; congratulations to Sharan, whom we now hope to get to know better. We were also very happy to bathe in the reflected glory of having another prize winner on our table; well done to Hilary and the team. It was the perfect occasion to catch up with acquaintances and make new contacts, all magnificently administered by the ACSA Events team; a round of applause to you too.

    AWCS careers evening at the ICSA
    It was standing room only at the AWCS Careers Evening where our very own Caroline Evans joined a panel of formidably successful Chartered Secretaries - each with a different story to tell. The speakers included: Madeleine Cordes from Appleby Trust, Kerry Porritt from The Livery company, Helena Whittaker from Structured Finance Management, Caroline Evans of CSS, Claire Banazol. a Corporate Secretary and Naval officer and last but by no means least Lucy Gilbert a relatively recently qualified chartered secretary. The event, aimed at trainees and more experienced members alike, was designed to showcase the enhanced ICSA qualification process (soon to be the CSQC scheme) and the CPD requirements. The ICSA Park Crescent headquarters provided an impressive backdrop to what was a very relaxed yet information-packed networking occasion; it's great to see the AWCS grow from strength to strength with as many new faces as old friends in attendance !

    Mapping the new landscape. If anyone was in any doubt of the weight of momentum behind the push for corporate governance change, yesterday's ICSA Conference provided the proof. The speeches by Sir Howard Davies and Peter Montagnon were notable in many respects but of particular significance to me was the emphasis on the international aspects and implications. It's clearly the case that the Company Secretary will be pivotal in not only delivering but also guiding, influencing and shaping the future, and events like this ensure that those in the field are well set to do so.

    Berwin Leighton Paisner LLP - Association of Women Chartered Secretaries - Corporate Governance
    Corporate Governance: case closed! Wimbledon plc didn't stand a chance; the combined intellectual weight of the 70 attendees at the AWCS seminar on the evening of 29th September easily identified the numerous breaches in corporate governance committed by this case study entity. Even the amateur in the room (me!) picked up on a few issues, thanks to the excellent presentation by Keely Hibbitt and Adam Bogdanor of Berwin Leighton Paiser LLP, our generous hosts.
    The next morning offered more opportunity for me to learn from the experts, when I joined the ICSA Consultation session on 'Improving Board Effectiveness', as part of its review of the Higgs Guidance for the FRC.

    AWCS Summer Party
    Last Wednesday CSS hit the deck of HMS President along with an impressive 170 other AWCS members and guests. On one of London's posh floating venues, and armed with a glass of champagne, we embarked on an evening that included a tour of the ship by its Captain, a nautical quiz (to test our attention to the tour), a raffle that delivered an impressive array of prizes that included a picnic hamper, spa vouchers and a magnificent handbag (my personal favourite!). There was even a 'costume' prize and I'm delighted to announce that Caroline won this with her diamante anchor sweater; which was well-deserved simply because she'd worn it all day, much to everyone else's amusement. However, I should mention that there was some hot competition; Robert Franklin's and Madeleine Cordes'/Jaime Tham's jaunty head gear certainly warrant special commendation! We've been long time supporters of the AWCS and it's great to see the group go from strength to strength; each year the organisers of the next year's events have a hard act to follow - and we can't wait! By the way, did you know that 'POSH' is a nautical acronym..?

    ICSA Breakfast Briefing AGM: opportunity or curse?
    I never knew there was so much in it - or just how entertaining a technical discussion (particularly one scheduled for 8.00 am!) on voting methods could be!
    The question "poll or show of hands" is obviously widely engaging and long-running, with plenty of supporters in both camps and many undecided.
    Susan Henderson's (Company Secretary Smith & Nephew plc) request for audience participation was enthusiastically met and adeptly evidenced her argument; Charles Pender's (Group Company Secretary Amlin plc) points were equally thought-provoking and incisively supported his case, and Frank Curtiss (Head of Corporate Governance Railpen Investments) , Jeannette Andrews (Analyst - Responsible Investment, Universities Superannuation Scheme) and Tim Goodman (Hermes Equity Ownership Services Ltd) expertly added the other key perspectives.
    It's clear there are no 'one size fits all' and that corporate profile, shareholder base and costs are important factors; certainly a 'watch this space' topic!

    Did you know...
    Lily Allen is a Londoner, we found this out last night at The AWCS (Association of Woman Chartered Secretaries) quiz night at Ye Olde Cock Tavern on Fleet Street.

    Eager to improve on our rather disappointing performance last year - when the evening was great fun but our general knowledge definitely wasn't up to scratch - we jumped at the opportunity to redeem ourselves. Equipped with our secret weapons (2 members of the wider BLT family) we joined 50 or so company secretaries and friends all equally keen to secure first place glory. Initially all went well - we found we're not too bad on..??? Then disaster - the Geography round - struck; 3/10 just wasn't good enough..!

    Nevertheless, the abundance of laughter, food and drink more than compensated for poor technical performance and, as the night came to a close, we were more than happy to hear we had redeemed ourselves - a little - with a respectful place of third.from the BOTTOM!

    PS We weren't great on the company secretarial round either but maybe next year..!

    ICSA Corporate Governance Conference
    The scope and significance of corporate governance and the role of the company secretary at the hub of this far-reaching arena was amply evidenced by the experts presenting, the topics discussed and the delegates in attendance at this year's ICSA Corporate Governance Conference last Wednesday(17th March).
    If further evidence was needed to prove the importance of the issues, their complexity and the potential extent of their impact, the day's programme - with its healthy mix of robust debate and enthusiastic consensus more than provided it. There's a great deal going on out there which will deliver huge challenge but also great recognition and reward for company secretaries and their wider community.
    2010 is going to be busy and I wonder what will be on the agenda next year? Whatever the detail, I think everyone is clear it's going to be 'upwards and onwards'!

    BLT was voted 'Best Management Consultancy Recruitment Consultancy' by Top-Consultant readers. Our 6th number one spot in 9 years. Thanks to everyone who voted.

    Don Leslie took the top individual recruiter award for the second year running, and Angela Heath took the second place slot. This is Angela's third appearance in Top-Consultant's individual recruiter Hall of Fame.

    Finally, BLT's 'channels to candidates' outstripped all but Michael Page in recruiters' market penetration. Stay tuned for pictures of the evening.

    Bowling Secretaries Over!
    CSS - together with the Worshipful Company of Chartered Secretaries & Administrators (WCCSA) - struck lucky with a first-class networking event aimed at company secretaries in the early stages of their professional career.


    Organised by Kerry Porritt, Liveryman, a 20 strong group donned bowling shoes and descended (literally!) onto the lanes of the exclusive American-themed 'All Star Lanes' bowling centre in Holborn. Strengthened by a cocktail or two and the encouragement of team mates, some serious bowling took place. Whilst technical skill levels were certainly varied - from an enthusiastic score of 28 to an expert total of 158* - the evening proved that lack of expertise is no barrier to enjoyment!
    Plenty of post-match analysis - took place over a traditional American supper - burger & fries; all in all, a very relaxed and original way to build professional relationships. 

    *Well done, John Rowland-Jones; who emphatically proved that the multi-tasking abilities of Chartered Secretaries are not confined to the board room!

    What's in an AGM
    Michelle and Nicola found out at this year's CSSPG's Annual General Meeting. Members old and new gathered at Royal Over-Seas League, James Street on Thursday 25th February 2010 to receive the Chairman's Report, review the Accounts for the year, re-appoint the Auditor, elect Officers, agree the subscription levels and discuss any other business relating to the professional practice group.

    This was followed by dinner and talk from Seamus Gillen, Director of Policy, ICSA. He delivered an encouraging and insightful speech about the ICSA and its plans for this year, focussing on the growth and expansion of membership, rebranding of the institute and, most importantly, raising the profile of the company secretarial profession, particularly in the not-for-profit sector.

    Up with the NEDs! (by Caroline Evans)
    I spent last Tuesday in the company of a very important group of people; non-executive directors. We were all on an extremely well run and informative technical course run by the ICSA. For my co-participants it was a refresher day, focussing on key areas of the extensive legislation, much of it very new and complex, that applies to their role. For me it was my first insight into exactly how demanding the NED remit is.

    It was daunting to discover the extent of their responsibilities but very reassuring also the see how much legislation and guidance is in place - and how well-qualified the NEDs I met are! It has made a very positive lasting impression on me. The number of NEDs is declining and I can understand why many people might baulk at the challenge but as the day taught me; our boards and investors - and all of us in fact - need our NEDs.

    CSS meet the President...
    of the ICSA that is at this year's Annual Banquet. Caroline, Michelle and Nicola once again had the pleasure of hosting a very entertaining table at the London Guildhall on 15th Dec. The chilly weather certainly didn't cool anyone's enthusiasm for a very sociable occasion! It's an event we have been attending now for a number of years, each one different but as memorable as the one before.

    A champagne reception, followed by dinner and talks from R. Anderson Cowe President ICSA and Tim Waterstone founder of Waterstone's bookstores, the magnificent surroundings of the Guildhall was once again the ideal venue in which to start the festive celebrations!

    Pure Indulgence!
    Pure Indulgence! Not something one would typically associate with the life of a company secretary, so when the opportunity came to participate in some well deserved relaxation we jumped at the chance to sponsor the Molton Brown Pure Indulgence evening that Kerry Porritt hosted on behalf of the Worshipful Company of Chartered Secretaries and Administrators in early December at the Royal Exchange in the City of London.

    With several long established livery members with impressive company secretarial careers in attendance, it was a unique opportunity for junior company secretaries to network and learn more about the Livery Company and its importance; both in terms of the support it provides to the profession and in respect of its considerable charitable activities.

    The rich aromas and cosy, sylish setting of the Royal Exchange store gave a very festive feel to the evening; during which we all indulged in the complementary wine, nibbles, and complementary hand massage, shopped with a £10 voucher and left with a delightful goodie bag.

    CSS - Celebrating Success
    What better way to round up an inconsistent 2009 than by celebrating this year's stories of achievement and success!

    Sponsoring the ICSA Awards Ceremony at The Brewery on 18th November was a first for CSS but it certainly won't be the last.

    We were thrilled - if a little frightened! - to play an active part in such a positive and upbeat evening celebrating the profession and properly recognizing the imperative role that the Company Secretary plays in ensuring the commercial effectiveness of all sorts of business, from the 'bluechips' to the niche entities. It's a message we really support and advocate.

    This key industry event, highlighted the hard work, commitment and enthusiasm needed to become first-class in our field and it was great to see this being widely acknowledged, particularly by contributions and active participation from outside the industry.

    The speakers, Sarah Montague and Paul Myners, were both entertaining and inspiring and it was clear that everyone involved took great pleasure in celebrating with like-minded professionals in an impressive social setting.

    The introduction of the ICSA Hermes Transparency in Governance Awards certainly signals increasing importance of transparency in governance. It's a crucial development and an area we have been focusing on following increasing demand from our clients for dedicated corporate governance professionals. In 2010 this trend is surely set to rise so watch this space!

    CSS and the Third Sector
    This new title for what has more traditionally been known as the Not-for-Profit or charitable arena reflects a new focus, rising profile and growing significance of this market, as well as its increasing alignment with other business sectors. On Thursday 9th July CSS attended the ICSA's Charity Secretaries Group seminar at the ICSA's offices at 16 Park Crescent.

    Key speakers David Wilson (New Chief Executive of the ICSA,) George Levvy (Former Chief Executive of the Motor Neurone Disease), Lindsay Driscoll (Chair Code Steering Group) and Louise Thomson (Head of Policy Not-For-Profit at the ICSA) spoke on some topical areas of corporate governance including: The Report on Proportionate Governance prepared for the Leadership & Governance National Support Service.

    Developments in the Voluntary Sector Code of Governance Behavioural Governance and what lessons can be learned in the current economic climate. Don is an engaging speaker and responded excellently to students during the Q&A part of his presentation as well. Unlike some speakers, he actually answered their questions!

    BLT's Winter Warmer
    Following on from the success of last year's private shopping event at the LK Bennett's flagship store in Covent Garden, BLT couldn't resist a little retail therapy again in 2008. With the cold nights drawing in, what better excuse to get all of the ladies together for a night of champagne, delicious canapés and, of course, some shopping! With 130 clients joining us for the evening, it was the perfect excuse to put faces to names and make new contacts along the way. And for those strong-willed ladies who managed to resist the call of the handbags and shoes, there was a wonderful goodie bag to take home which included a beautiful LK Bennett necklace, a silver BLT compact mirror and some tasty Green & Blacks chocolate.
    Not only was it a great chance to catch up, but it was also for a good cause. This year we introduced a charity raffle in aid of Breast Cancer Care, which raised over £400. This raffle was a roaring success, despite a few hiccups along the way; namely, the embarrassing scenario that occurred when name after name of BLT employee was pulled out of the hat! But eventually the great prizes from our sponsors went to good (non-BLT!) homes.

    National Breast Cancer Awareness
    National Breast Cancer Awareness day came to BLT on Monday. In order to raise money for Breast Cancer Care everyone at BLT wore something pink and were charged £1 for the privilege. This wasn't entirely altruistic because the fine for anyone turning up for work sans pink was a massive £3. So it was that the BLT offices looked like a flock of flamingos had turned up for a business meeting.

    Lunch brought the big event of the day: the baby photo guessing game. Unfortunately, I had forgotten to bring mine, perhaps because doing so carried no financial penalty, and so my photo was of a 3 year old catalogue model posing on a beach. Despite this, many of my colleagues guessed that the photo was me - I suppose they must have thought I lost my looks some time during primary school.

    The photos that were really of BLT consultants revealed childhoods that had involved knitted tights, very large hands, spiky haircuts and red dungarees. Despite these familiar features, it was still a challenge to match the right photo to the right person. The ones that showed most ability were Nicola and Lorraine who both got 10 out of 18 correct. After a tense celebrity tie-breaker they still could not be separated and so both took home the star prize of a bottle of rosé wine.

    So, Pink Day at BLT: the rules of fashion were broken, reputations were ruined, secrets were revealed and £70 was raised for charity. All in all, a good day!
